PROMOTIONAL PERIOD: The Schick Hydro “Pin-up Poker” Contest (the “Contest”) commences at 12:00 am (ET) on July 2, 2010 and will end at 11:59 PM (ET) on September 30, 2010 (the "Contest Period"). For a chance to win an Instant Win Prize you will require a PIN. A total of 500,000 Pins are available while supplies last and can be obtained: (i) through participating events (the “Event”) listed in Rule 2 below; (ii) through a purchase of a special promotional pack “Schick Hydro 6 pack” which is available at participating retailers across Canada, while supplies last; or (iii) through a no purchase request as defined in Rule 3 below. For a chance to win a Grand Prize you do not require a PIN to enter.

EVENT LOCATIONS & TIMES: There will be four (4) Events during the Promotional Period.

NO PURCHASE NECESSARY. To request a Unique PIN without purchase and while supplies last, send a self-addressed stamped envelope along with a 25 word essay on “why you would like to go to Vegas” to: Schick “Hydro” PIN request, P.O. Box 302, Dept. 500, Oakville, ON L6J 5A2. Limit one (1) request per postage stamped envelope. Each mail in request must be mailed in a separate envelope, bearing sufficient prepaid postage and must include an original hand written essay (no photocopies or facsimiles will be accepted). Requests must be received by September 5, 2010 to allow for sufficient processing time.

ELIGIBILITY: To enter the Contest and be eligible to win a Prize, a person (“entrant”) must be a resident of Canada who has reached the age of majority in the province/territory in which he/she resides at the time of entry into the Contest. Employees, officers, and directors (including members of the same household of such persons) of Energizer Canada Inc., (the “Sponsor”), Rational Poker School Limited, their respective affiliates, agents, participating stores, advertising or promotional agencies, and the independent contest organization are not eligible to enter the Contest.

HOW TO ENTER: (1) go to www.schick.ca or www.schickhydro.ca ; click on “Promotions”; click on the “Pin-up Poker Contest” button; (2) complete the on-line Entry Form with your full name, full address, daytime telephone number, age range, gender (optional), language preference and e-mail address; (3) read and accept the Official Rules; (4) indicate if you would like to start receiving future e-mail updates, communications from the Sponsor (not mandatory for entry) and select “submit”. Proceed to Step to rule 5a or 5b. All entries must be received by 11:59 PM (ET) on September 30, 2010 (the “Contest Closing Date”).

a. I have a PIN: For a chance to win an Instant Win Prize you will need a unique PIN (see Rule 1 and 3 above for how to obtain a PIN without purchase). Each PIN provides you with an automatic entry into the Grand Prize draw: Enter your PIN and correctly answer without mechanical assistance of any kind the mathematical skill-testing question posed on the webpage and click “submit”. Upon receipt of your Entry your PIN will be verified and if PIN is valid and your answer to the mathematical skill-testing question is correct you will receive one (1) of the two (2) following messages; (1) “Congratulations you are an eligible winner of a stated instant win prize”. If you received this message proceed to Rule 6 below and Rule 8 for prize information; or (2) “You are now entered into the Grand Prize draw and we are sorry you are not an Instant Winner” message. If you have incorrectly answered the mathematical skill-testing question regretfully you will be disqualified and do not qualify f or the prize. Any incorrect answers to the mathematical skill-testing question will receive a “Sorry your answer to the mathematical skill-testing question was incorrect and regretfully you are disqualified from winning an Instant-Win Prize, but are entered into the Grand Prize draw”.

b. I don’t have a PIN: Select “I don’t have a PIN” and click “submit”. Upon receipt you will receive a “Thank you for your entry, you are now entered into the Grand Prize draw” message.

6. HOW TO CLAIM AN INSTANT WIN PRIZE: By accepting delivery of your Instant Win Prize you confirm compliance with the Official Rules, acknowledge that the Instant Win Prize must be accepted as awarded and cannot be substituted or transferred and has no cash surrender value, consent to the use of your name, address and/or photographs, without further remuneration, in connection with any publicity carried out by or on behalf of the Sponsor with respect to the Contest, and release the Sponsor, Rational Poker School Limited, their respective affiliates, advertising and promotional agencies, the independent contest organization, and their respective shareholders, directors, officers, employees, and agents from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the awarding and use of a Instant Win Prize or the Contest. Instant Win prizing will be sent by mail within 45 days of your Instant Win Date. If any Instant Win prize is returned as undeliverable, Instant Win winners will forfeit their Instant Win prize and the Instant Win prize will not be awarded. Each Instant Winner agrees to accept the prize as awarded and confirms that the prize is not transferable or convertible to cash or credit. Sponsor retains the right, in its absolute discretion, to make substitutions of equivalent kind or value in the event of the unavailability of any component of the prize for any reason. The decisions of Sponsor on all issues relating to the contest will be final and binding on all entrants.

ENTRIES: Only one (1) e-mail address may be used by any person participating in the Contest. Limit of one (1) Entry per person per week. Each promotion week starts at 12:00 am (ET) on a Monday and ends at 11:59 PM (ET) on a Sunday. Any person who is found to have entered more than once per week will be disqualified. Proof of transmission (screenshots or captures, etc.) does not constitute proof of delivery. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. The Sponsor will not be responsible for late, lost, illegible, falsified, damaged, misdirected, mutilated, garbled or incomplete entries, which will be void. All entries become the property of the Sponsor upon receipt and none will be returned.

Winners of a Hydro shave gel, Hydro refills 4’s, or Hydro razor; will be sent by mail their coupon which can be redeemed for the defined prize at a participating retail store in Canada. Coupons must be redeemed by May 31, 2011 otherwise the coupon will be null and void. For winners of a Hydro shave bag, the Hydro shave bag will be sent by mail. Any Instant Win Prize unclaimed after 11:59:59 PM (ET) on September 30, 2010 (the “Contest Closing Date”) will not be awarded. As Instant Win Prizes are redeemed, the number of Instant Win Prizes available will be reduced accordingly and the odds of winning will be unchanged. The approximate retail value of each Instant Win Prize is that stated by the supplier of the Instant Win Prize sixty days prior to the start of the Contest.

GRAND PRIZES: There will be five (5) Grand Prize Packages (each a “Prize”) available to be won. Each Grand Prize Package consists of a trip for two (2) adults to Las Vegas, Nevada; including two (2) economy airfare tickets departing from the Canadian International airport closest to the Winner’s residence and arriving at Las Vegas, Nevada, three (3) nights’ accommodation in a standard room, based on double occupancy at Venetian Hotel; $500 CDN spending money. Approximate retail value of a trip based on a Toronto departure example is $2,500 CDN. Actual retail value may vary depending on the city of departure. In lieu of the described Grand Prize Package a winner can choose to accept a cash alternative of $1,500 CDN. If the winner accepts the cash alternative, the Prize will be issued in the form of a cheque payable in the winner’s name as it appears on his/her Entry Form. Each Winner and his/her travel guest must be Canadian residents to qualify for the Prize. Each Winner and his/her travel guest must each have proof of valid travel documents (i.e. passport) prior to ticketing and the right to enter the United States of America. Trip must be completed by December 15, 2010. Each Winner’s guest must be of the age of majority in his/her province or territory of residence. Note that the age of majority in Las Vegas is 21 years of age. Each Winner and his/her travel guest must travel on the same itinerary and are responsible for all other expenses not specified herein, including but not limited to: ground transportation, meals, insurance, items of personal nature, telephone, fax, personal services and expenses such as laundry, valet, room service; gratuities, optional tours, medical travel documents, and other incidentals costs which are the responsibility of the Winner and his/her guest. No frequent flyer miles will be available for this trip. Prizes must be accepted as awarded without substitution and are not transferable or for resale and have no cash surrender value except where stated. The Sponsor reserves the right, in the event that the Prize or any component of the Prize cannot be awarded as described for any reason, to substitute a similar Prize or component of equal or greater value without liability. Limit one (1) Grand Prize per household address.

DRAWINGS: Random draws for each Grand Prize will be made by the independent contest organization at 10:00 am (ET) in Oakville, ON. The first random draw will be held on July 29, 2010 from all eligible entries received between July 2, 2010 and July 25, 2010. The second random draw will be held on August 19, 2010 from all eligible entries received between July 2, 2010 and August 15, 2010. The third random draw will be held on September 9, 2010 from all eligible entries received between July 2, 2010 and September 5, 2010. The fourth random draw will be held on September 23, 2010 from all eligible entries received between July 2, 2010 and September 19, 2010. The fifth random draw will be held on October 6, 2010 from all eligible entries received between July 2, 2010 and September 30, 2010. Odds of winning will depend on the total number of eligible entries received between July 2, 2010 and the close for the specified draw period. Each selected entrant will be contacted by mail, courier, or telephone within ten (10) business days of the Draw Date. In the event that a selected entrant cannot be contacted within ten (10) business days by mail, courier, or telephone, the selected entrant will be disqualified, and his/her entitlement to receive a Prize will be forfeited and an alternate eligible entrant will be randomly selected from the remaining eligible entries and the above process will be repeated. As a condition of being declared a Winner, each selected entrant must first correctly answer without assistance of any kind, whether mechanical or otherwise, a mathematical skill-testing question to be administered by mail, courier, or telephone at a mutually agreed upon time. In the event that a selected entrant incorrectly answers the mathematical skill-testing question, he/she will be disqualified from winning a Prize and another entrant will be randomly selected and the above process will be repeated. This process will be repeated until such time as there are five (5) confirmed winners (each a “Winner”), and/or no more entries are available.

11. RELEASE FORM: Each selected entrant must complete and return the Sponsor’s Declaration of Compliance and Release of Liability and Publicity Release Form (the “Form”). By completing and returning the Form, and accepting the Prize, the Winner confirms compliance with the Official Rules, acknowledges that the Prize must be accepted as awarded and cannot be substituted or transferred, releases the Sponsor, Rational Poker School Limited, their respective affiliates, advertising and promotional agencies, the independent contest organization, and their respective shareholders, directors, officers, employees and agents from and against all liability in connection with the Contest and/or the awarding and use of the Prize, and consents to the use of his/her name, address (city and province/territory), and/or photographs, without further remuneration, in connection with any publicity carried out by or on behalf of the Sponsor with respect to the Contest. The Form must be returned within the time period specified on the Form or the Prize will be forfeited. The travel guest of the Winner will also be required to sign and return a Declaration and Publicity Release Form (the “Release Form”) within the time period specified on the Release Form. Upon receipt of the Form and the Release Form, the Sponsor or a designated agent will contact each Winner by telephone within fifteen (15) days or less to begin making the necessary travel arrangements.

CONDITIONS OF ENTRY: By entering the Contest, entrants (i) acknowledge compliance with these Official Rules including all eligibility requirements, and (ii) agree to be bound by the Official Rules and by the decisions of the independent contest organization, made in its sole discretion, which shall be final and binding in all matters relating to this Contest. Entrants who have not complied with these Official Rules are subject to disqualification.

If a dispute arises regarding who submitted an entry, the entry will be deemed to have been submitted by the authorized account holder of the e-mail address provided at the time of entry. The authorized account holder is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

GENERAL: The Sponsor, Rational Poker School Limited, and the independent contest organization do not assume any responsibility and are not responsible for (i) the incorrect or inaccurate capture of entry information and entries that fail to comply with the Official Rules; (ii) any loss, damage, or claims caused by an awarded Prize or the Contest itself; or (iii) any failure of the website during the Contest Period, including any problems, human or technical, printing errors, lost, delayed, garbled data or transmissions, omissions, interruptions, deletions, defects or failures of any telephone or computer lines, or technical malfunction of any computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail or entry to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant’s or any other person's computer related to or resulting from downloading any material connected to the Contest, all of which may affect a person’s ability to participate in the Contest. Entry material/data that has been tampered with or altered is void.

All issues and questions concerning the construction, validity, interpretation, and enforceability of the Official Rules, or the rights and obligations of entrants and the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with (i) the laws of the Province of Québec and the laws of Canada applicable therein in respect of residents of the Province of Québec, and (ii) the laws of the Province of Ontario and the laws of Canada applicable therein in respect of residents of the other Canadian provinces/territories, without regard to conflicts of law principles. Any attempt by a participant or any other individual to deliberately damage any website or undermine the legitimate operation of the Contest could be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. This Contest is subject to all Federal, Provincial, and Municipal laws.

In the event, due to production, production, programming or other error, that more than the advertised numbers of Instant Win Prizes are claimed, the Sponsor shall cease to award the Instant Win Prizes and there will be a random draw on October 6, 2010 at 2:00 PM (ET) in Oakville, ON amongst all eligible Instant Win Prize claimants from the time that the awarding of Prizes was ceased to award the correct number of Instant Win Prizes after the Contest Closing Date. In no event will the Sponsor be responsible or liable for more than the stated number of Instant Win Prizes in Rule #8.

The Sponsor reserves the right, with the consent of the Régie des alcools, des courses et des jeux to terminate or suspend this Contest or to amend the Official Rules at any time and in any way, without prior notice, for any reason whatsoever. Without limiting the foregoing, if for any reason the Contest is not capable of running as originally planned, for example as a result of tampering or infection by computer virus, the Sponsor reserves the right, with the consent of the Régie des alcools, des courses et des jeux to terminate the Contest and conduct the random draws from all other previously received eligible entries.

Any litigation respecting the conduct and awarding of the Prize in this Contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of the Prize may be submitted to the Régie des alcools, des courses et des jeux only for the purpose of helping the parties reach a settlement.

CONSENT TO USE PERSONAL INFORMATION: The Sponsor respects your right to privacy. If you consented on the Entry Form, the Sponsor may use the information you provide to initiate, maintain, and develop a relationship with you in connection with the offering of the Sponsor’s products or the promotion and marketing of additional products and services offered by the Sponsor. You may revoke your consent at any time by writing to Schick Consumer Affairs Canada, P.O. Box 537, Neenah, WI 54957 USA. If you did not consent on the Entry Form, the information you provided will only be used to conduct the Contest.
